フェイスブック株式公開「失敗」の戦犯浮上（…といった気配）
フェイスブックの株式公開「失敗」に端を発した一連の騒動。まだまだいろいろ情報が出ている感じで、今後の展開も定かではないものの、フェイスブック側ではCFOのデイビッド・エバーマン（David Ebersman ）、引き受け側ではモルガン・スタンレーのマイケル・グライムズ（Michael Grimes）の名前が「戦犯」候補として浮上。
この2人の「頸をとる」ような形でのケジメor幕引きとなるのかどうか・・・。ザッカーバーグにとっては、さっそく器量を試される局面。「泣いて馬謖を斬る」なんて言い回しは、きっと英語にもラテン語にもないよな。
“This IPO was an Ebersman and Grimes show,” said one of the people familiar with the matter. “They were joined at the hip.”
現時点での争点は、フェイスブックS-I修正版提出と前後して生じた主幹事幹事会社3社（Morgan Stanley, Goldman Sach, JP Morgan）での見通し引き下げについて、引き受け側が一部の有力機関投資家に口頭で話しただけで、結果的に個人投資家などが「いっぱい喰わされた」結果になった、という部分。
これに関して、フェイスブック側のある人間が、幹事会社3社の人間に対し、機関投資家にその事を伝えるよう指示があった可能性が浮上。この「ある人間」が誰なのかはまだわからず。同時に、何らかの法律・規制に触れる行為があったかどうかもまだ不明。
テクニカルな部分では、S-1修正版提出でモバイル関連の取り組み（売上見込み）などが遅れている/まだ目処が立っていない、けれどもモバイル・ユーザーの利用は増え続けているなどの材料は「公開情報」となっていたものの、具体的なターゲットプライスーー公にされていた「34-38ドル」（？）については、見通し引き下げ前のもので、引き下げ後のレンジは一部の機関投資家にしか共有されていなかったという点、ならびにそうした流れのなかでそれでもフェイスブック側が売り出し株式数をさらに増やしたという事実ーーこれが内部者（フェイスブックに投資していた連中）の「売り逃げ」とみなされそうな可能性、の2点。
